1. Acceptance of Terms
By engaging NextClick Digital ("we", "us", "our") for services, or by using this website, you agree to be bound by these Terms of Service.
2. Our Services
We provide AI solutions, website design, managed hosting, business email setup, SEO and AI search optimisation, paid advertising, social media management, marketing automation and website care plans, as agreed in an individual quote or proposal for your business.
3. Quotes & Payment
- All services are quoted individually based on the scope of work agreed with you
- Payment terms, including any deposit, milestones or ongoing billing, will be outlined in your specific quote or invoice
- Late or non-payment may result in suspension of services, including hosting and website access
4. Client Responsibilities
You agree to provide accurate information, timely feedback, and reasonable access to any accounts or systems required for us to deliver the agreed service.
Where a service involves us handling data belonging to your own customers or website visitors — including AI chatbot conversations, CRM and marketing automation records, advertising audience data, or social media community interactions — you warrant that you have the right to have that information processed on your behalf, and remain responsible for your own privacy obligations to your customers. Our handling of that information is described in our Privacy Policy.
5. Intellectual Property
- Upon full payment, ownership of custom deliverables (such as a completed website) transfers to you, excluding any third-party platforms, code libraries, or pre-existing tools used to build it
- We retain the right to showcase completed work in our portfolio and marketing materials, unless otherwise agreed with you in writing
6. Hosting & Ongoing Services
Services such as hosting, care plans, and other subscriptions continue on a month-to-month basis unless otherwise agreed, and can be cancelled with notice as specified in your service agreement.
7. Service-Specific Terms
Some services carry their own additional terms, which will be set out in your individual quote or service agreement rather than repeated here. This includes matters such as advertising spend and platform fees for Paid Advertising, content ownership and posting cadence for Social Media Management, and data sources used to train AI Solutions. Where a conflict exists, your specific service agreement takes precedence over these general terms.
8. Limitation of Liability
To the extent permitted by law, NextClick Digital is not liable for indirect or consequential loss arising from the use of our services. Nothing in these terms excludes, restricts or modifies any rights you have under the Australian Consumer Law that cannot lawfully be excluded.
9. Termination
Either party may terminate ongoing services with written notice, as specified in the relevant service agreement.
10. Governing Law
These terms are governed by the laws of Victoria, Australia, and the parties submit to the jurisdiction of its courts.
11. Changes to These Terms
We may update these terms from time to time. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
